1. Scope of services
Our services include, but are not limited to, keyword research, technical SEO audits, on-page optimisation, content marketing, link building and competitor monitoring, as defined in the agreed service proposal. Any work outside that scope must be agreed separately.
2. Client responsibilities
To keep the engagement running smoothly, the client agrees to:
- Provide accurate project information and respond to our communications promptly;
- Hold the legal right to operate and optimise the submitted website;
- Safeguard their own accounts, domains and server access — losses from client-side leaks are the client's responsibility.
3. Payment
- One-off services (such as technical audits) are payable before work begins;
- Monthly services are billed per the agreed cycle, and we may pause work if payment is overdue;
- Quoted amounts exclude tax, where applicable, which is the client's responsibility.
4. Intellectual property
- Strategy documents, reports and content we deliver become yours to use once fees are settled;
- We retain copyright in our methodologies, templates and internal tools;
- The client warrants that any content or materials they supply do not infringe third-party rights.
5. Confidentiality
Both parties will keep confidential any trade secrets and sensitive information learned during the engagement, and will not disclose them to third parties without prior written consent, except as required by law or necessary to perform the service.
6. Disclaimer and limitation of liability
- SEO outcomes are affected by search engine algorithms, market competition and other factors outside our full control; we do not guarantee specific rankings or traffic figures;
- We provide services with professional care, but are not liable for indirect, incidental or consequential losses;
- Our aggregate liability is capped at the service fees actually paid for the relevant service.
7. Termination
- Monthly services may be terminated with written notice, with fees settled pro-rata for work performed;
- Either party may terminate for a material breach by the other, while reserving the right to seek remedy.
8. Governing law and disputes
These terms are governed by the laws of the service provider's jurisdiction. Disputes will first be resolved through good-faith negotiation, and if that fails, referred to a competent body.
